Master Services Agreement (MSA) – Initforce

Effective Date: March 21, 2025

At Initforce, we believe clear agreements create better partnerships. Our Master Services Agreement (MSA) outlines the legal foundation for working with us on Salesforce projects and services.

The MSA applies to all engagements unless otherwise agreed in writing, and is paired with a Statement of Work (SOW) for each specific project or service.

1. What’s Covered in Our MSA?

Payment Terms

  • Standard net-15 or net-30 terms (unless otherwise specified in the SOW)
  • Invoicing bi-weekly or monthly
  • Late payments may incur a service charge

Intellectual Property (IP)

  • All work created for your org (code, configs, docs) is yours, unless stated otherwise
  • Initforce retains rights to internal templates, tools, or reusable code components

Confidentiality

  • We protect all client data, business logic, and systems access
  • Mutual NDAs can be executed as needed

Warranties & Limitations

  • We commit to delivering work professionally and in good faith
  • We do not warrant Salesforce platform behavior or third-party integrations

Termination

  • Engagements can be paused or ended with advance written notice
  • Clients are responsible for payment of work delivered up to that point

Indemnity

  • We each agree to protect one another from legal harm resulting from misconduct or breaches of contract
